Acceptance of Terms

By accessing or using the OppEngine platform (the "Service"), operated by Nodiumtech, LLC, a Texas Limited Liability Company ("Company," "we," "us," or "our"), you ("User," "you") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age to use the Service. By using the Service, you represent that you are 18 or older and have the legal capacity to enter into a binding agreement.

Description of Service

OppEngine is a business intelligence subscription platform that analyzes publicly available internet data to identify potential startup opportunities, market gaps, and pain points. The Service provides:

• Automated scanning and aggregation of publicly available data from online sources
• AI-generated opportunity scoring and analysis reports
• Cross-market and cross-country opportunity intelligence
• Competitor intelligence summaries
• Customizable alerts for new opportunity signals

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time with reasonable notice where feasible.

Accounts & Registration

To access most features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password confidential and secure
• Notify us immediately at hi@oppengine.io of any suspected unauthorized use of your account
• Be solely responsible for all activity that occurs under your account

You may not create more than one free account per person. Sharing account credentials with other individuals is not permitted under any plan unless you have purchased a multi-seat plan explicitly granting this right.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false registration information, or are associated with fraudulent activity.

Subscriptions & Billing

Subscription Plans

OppEngine offers the following subscription tiers:

Payment Processing

All payments are processed by Stripe, Inc., a third-party payment processor. By subscribing to a paid plan, you authorize us to charge the payment method you provide on a recurring monthly basis. All prices are stated in USD and exclude applicable taxes.

Automatic Renewal

Paid subscriptions automatically renew at the end of each billing cycle. You will be charged the then-current subscription price unless you cancel before the renewal date. We will use reasonable efforts to notify you via email before any price increase takes effect.

Price Changes

We reserve the right to change subscription prices. Any price change will take effect at the next billing cycle following 30 days' advance notice by email to your registered email address.

Refund & Cancellation Policy

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at hi@oppengine.io. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of the paid period.

Refunds

We offer a 14-day money-back guarantee for first-time subscribers on the Founder and Investor plans. If you are not satisfied within the first 14 days of your initial paid subscription, contact us at hi@oppengine.io and we will issue a full refund.

After the 14-day period, subscriptions are non-refundable except where required by applicable law. Refunds are not available for:

• Partial billing periods following cancellation
• Renewals where you failed to cancel before the renewal date
• Free plan usage
• Accounts terminated for violation of these Terms

Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Scrape, crawl, or extract data from the Service using automated means without our express written permission
• Reverse-engineer, decompile, or attempt to extract the source code of any part of the Service
• Reproduce, resell, or redistribute reports or data from the Service without written authorization
• Transmit harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to other users' accounts or our infrastructure
• Use the Service in a way that interferes with or disrupts the Service's integrity or performance
• Engage in any activity that could impose an unreasonable or disproportionate load on our infrastructure
• Create competing products or services based primarily on the Service's outputs without explicit licensing agreement

Violation of this Acceptable Use Policy may result in immediate termination of your account without refund.

Intellectual Property

Our Property

All software, algorithms, designs, databases, brand elements, editorial content, and technology underlying the Service are owned by or licensed to Nodiumtech, LLC and are protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership interest in the Service.

License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during your subscription term.

Your Content

You retain ownership of any data or content you submit to the Service. By submitting content, you grant us a limited license to process and use it solely for the purpose of providing the Service to you.

AI-Generated Reports

Opportunity reports and analyses generated by the Service are provided for your personal or internal business use. You may not resell, publish, or commercially distribute Service outputs without our prior written consent.

User Data & Privacy

Your use of the Service is subject to our Privacy Policy, which governs how we collect, use, and protect your personal information. By using the Service, you consent to data practices described in our Privacy Policy.

We use Stripe for payment processing. We do not store your full payment card information. Payment data is handled directly by Stripe in accordance with their Privacy Policy and PCI-DSS compliance standards.

Disclaimer of Warranties

We do not warrant that:

• The Service will be uninterrupted, error-free, or fully secure
• The information or data presented is accurate, complete, current, or reliable
• The Service will meet your specific business requirements
• Any opportunity identified by the Service will be commercially viable
• Results using our Service will generate revenue, profit, or business success

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NODIUMTECH, LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, business opportunities, or goodwill
• Business decisions made based on information provided by the Service
• Damages arising from unauthorized access to or alteration of your data
• Any damages exceeding the amount you paid to us in the 12 months preceding the claim

Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Nodiumtech, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:

• Your violation of these Terms
• Your use of the Service in a manner not authorized by these Terms
• Your violation of any law or third-party rights
• Any content or data you submit to the Service

Termination

By You

You may terminate your account at any time by canceling your subscription and contacting us to delete your account. Upon termination, your right to use the Service ceases immediately.

By Us

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if we determine it is necessary to comply with applicable law.

Effect of Termination

Upon termination: your license to use the Service is revoked; we may delete your account data after 90 days in accordance with our Privacy Policy; Sections 7, 9, 10, 11, and 13 shall survive termination.

Governing Law & Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict-of-law principles.

Informal Resolution

Before initiating any formal dispute, you agree to first contact us at hi@oppengine.io and attempt to resolve the issue informally for at least 30 days.

Arbitration

Any unresolved dispute arising from or relating to these Terms shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Fort Bend County, Texas. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver

You agree that disputes must be brought on an individual basis only. You waive any right to bring or participate in a class action lawsuit or class-wide arbitration against Nodiumtech, LLC.

Exceptions

Either party may seek emergency injunctive relief in a court of competent jurisdiction in Fort Bend County, Texas to prevent irreparable harm pending arbitration.

Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date above.

Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms. If you do not agree to the revised Terms, you must cancel your subscription and stop using the Service before the effective date.
